1. Introduction
Welcome to Ugram ("Platform", "we", "us", or "our"). Ugram is a video aggregation platform that enables Telegram channel owners ("Channel Owners") to register their channels and display their video content on the Ugram website. By accessing or using Ugram — whether as a viewer ("User"), a Channel Owner, or in any other capacity — you ("you" or "your") agree to be bound by these Terms of Service and Disclaimer ("Terms"). If you do not agree to these Terms, you must immediately cease using the Platform.
Ugram operates as a hosting and aggregation service. We do not produce, upload, curate, pre-screen, moderate prior to publication, or endorse any content displayed on the Platform. All content originates from and is controlled by third-party Telegram channel owners who have voluntarily registered their channels with Ugram.
2. Telegram Platform Compliance
Ugram is an independent third-party aggregation service that operates in full compliance with Telegram's Terms of Service, API Terms of Service, and Bot API policies. Ugram is not affiliated with, endorsed by, or sponsored by Telegram Messenger Inc. or any of its subsidiaries.
2.1 How Ugram Works
Ugram functions exclusively as a content aggregator and display layer. It does not scrape, crawl, or extract content from Telegram without authorization. The process operates as follows:
- Voluntary registration: Only Telegram channel administrators can register their own channels on Ugram. No channel is added without the explicit action and consent of its owner or administrator.
- Bot API integration: Ugram uses Telegram's official Bot API to access channel content. The Ugram bot (@UgramOfficialBot) must be manually added as an administrator of the channel by its owner before any content can be accessed.
- Authorized access only: Ugram accesses only content from channels whose administrators have explicitly granted permission by adding the bot and registering the channel on the platform.
- No unauthorized data collection: Ugram does not access private messages, user chats, groups, or any Telegram content beyond what is voluntarily shared by channel administrators through the official Bot API.
2.2 API Compliance
Ugram strictly adheres to Telegram's API usage policies, including but not limited to:
- Respecting rate limits and fair usage policies imposed by Telegram;
- Using only officially documented and publicly available API endpoints;
- Not circumventing any access controls, restrictions, or security measures implemented by Telegram;
- Not storing or redistributing Telegram user credentials or authentication tokens;
- Complying with all applicable data retention and data handling policies.
2.3 Channel Owner Control
Channel Owners retain full control over their content at all times. Channel Owners may:
- Remove their channel from Ugram at any time, which will cease all content display;
- Remove the Ugram bot from their channel, which will immediately prevent further content access;
- Delete individual videos from their Telegram channel, which will be reflected on Ugram;
- Contact Ugram at any time to request immediate removal of their content.
Ugram does not retain or continue to display content after a Channel Owner has revoked access or requested removal.
2.4 No Violation of Telegram Rules
Ugram operates as a legitimate, authorized consumer of Telegram's public APIs. It does not engage in any activity that violates Telegram's Terms of Service, including but not limited to: unauthorized scraping, mass data extraction, spamming, phishing, or any form of abuse of the Telegram platform. If Telegram modifies its API terms or policies in a manner that affects Ugram's operations, Ugram will promptly adapt to remain in compliance.
3. Disclaimer of Liability
ALL CONTENT AVAILABLE ON UGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Ugram functions exclusively as a technical intermediary that provides platform infrastructure for the aggregation and display of video content sourced from Telegram channels. We do not:
- Create, produce, commission, or modify any content displayed on the Platform;
- Pre-screen, review, approve, or verify content before it appears on the Platform;
- Exercise editorial control over any content published by Channel Owners;
- Guarantee the accuracy, completeness, reliability, legality, or quality of any content;
- Make any representations regarding the suitability of content for any particular purpose.
All content displayed on Ugram is the sole and exclusive responsibility of the Channel Owner who published it on their Telegram channel. Ugram shall not be held responsible or liable for any content posted, transmitted, or made available through the Platform by Channel Owners or any third parties.
This disclaimer extends to, but is not limited to, any errors, omissions, inaccuracies, defamatory statements, obscene material, illegal content, intellectual property infringements, or any other objectionable material contained in such content.
4. Content Ownership & Intellectual Property
Ugram does not claim ownership of any content displayed on the Platform. All intellectual property rights — including but not limited to copyrights, trademarks, trade secrets, and any other proprietary rights — in and to the content remain with their respective owners.
By registering a channel with Ugram, Channel Owners grant Ugram a limited, non-exclusive, royalty-free, worldwide license to display, distribute, cache, thumbnail, transcode (for technical compatibility purposes only), and make accessible their content through the Platform. This license is solely for the purpose of operating, promoting, and improving the Platform and is automatically revoked upon removal of the channel or content from Ugram.
Channel Owners represent and warrant that they possess all necessary rights, licenses, consents, and permissions to publish the content on their Telegram channel and, by extension, on Ugram. Channel Owners further represent that their content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.
5. No Endorsement
The presence, display, or availability of any content on Ugram does not constitute or imply:
- Endorsement, approval, or recommendation of such content by Ugram;
- Verification of the accuracy, truthfulness, or reliability of the content;
- Affiliation with, sponsorship by, or partnership between Ugram and the Channel Owner or any entity referenced in the content;
- Ugram's agreement with any views, opinions, or statements expressed in the content;
- Any guarantee regarding the quality, safety, or legality of the content.
Users acknowledge that they access and rely upon content displayed on Ugram entirely at their own risk and discretion. Ugram strongly recommends that Users independently verify any information obtained through the Platform before acting upon it.
6. Channel Owner Responsibilities
Channel Owners bear full and sole responsibility for all content published through their registered channels. By registering a channel with Ugram, Channel Owners explicitly agree to and acknowledge the following obligations:
6.1 Copyright Compliance
Channel Owners must ensure that all content they publish complies with applicable copyright laws, including but not limited to the U.S. Copyright Act (17 U.S.C.), the EU Copyright Directive (2019/790), the Berne Convention, and all other relevant international intellectual property treaties and national laws. Channel Owners must not upload, publish, or distribute content for which they do not hold the necessary rights or valid licenses.
6.2 Content Legality
All content must comply with applicable local, national, and international laws and regulations. Channel Owners must not publish content that is illegal, promotes illegal activity, depicts child sexual abuse material (CSAM), facilitates terrorism or violent extremism, constitutes hate speech, or violates any other applicable law.
6.3 Accuracy of Information
Channel Owners are responsible for the accuracy and truthfulness of all information, claims, and representations contained in their content. Ugram disclaims all liability for any damages resulting from reliance on inaccurate, misleading, or false information published by Channel Owners.
6.4 Compliance with Applicable Laws
Channel Owners must comply with all applicable laws and regulations in their jurisdiction and in any jurisdiction where their content is accessible, including but not limited to: data protection and privacy laws (e.g., GDPR, CCPA), consumer protection laws, advertising standards and disclosure requirements, export control and sanctions regulations, and any applicable content rating or classification requirements.
6.5 Consequences of Violation
Ugram reserves the right to remove any content, suspend or permanently terminate any channel registration, and/or report violations to relevant law enforcement authorities, at its sole discretion and without prior notice, in the event of any violation of these Terms or applicable law.
7. DMCA & Copyright Takedown Procedure
Ugram respects the intellectual property rights of others and complies with the provisions of the Digital Millennium Copyright Act (DMCA, 17 U.S.C. § 512), the EU Digital Services Act (Regulation 2022/2065), and other applicable notice-and-takedown frameworks. As a hosting service provider, Ugram qualifies for safe harbor protection under these frameworks, provided that it responds expeditiously to valid infringement notifications.
7.1 Filing a Copyright Infringement Notice
If you believe that content available on Ugram infringes your copyright, you may submit a written notification to our designated agent containing the following information:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed (or, if multiple works are covered by a single notification, a representative list);
- Identification of the material claimed to be infringing, including sufficient information to enable Ugram to locate the material (e.g., URL or direct link);
- Your contact information, including name, address, telephone number, and email address;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
7.2 Designated Agent

If you believe that content was removed or disabled in error or misidentification, you may submit a written counter-notification containing: (a) your physical or electronic signature; (b) identification of the removed material and its prior location; (c) a statement under penalty of perjury that you have a good faith belief the material was removed in error; (d) your name, address, and telephone number; and (e) consent to the jurisdiction of the federal district court for the judicial district in which your address is located.
7.4 Repeat Infringer Policy
In accordance with the DMCA and other applicable laws, Ugram maintains a policy of terminating, in appropriate circumstances, the accounts of Channel Owners who are repeat infringers of intellectual property rights.
8. User Conduct
By accessing or using Ugram, you agree that you will not:
- Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation;
- Attempt to gain unauthorized access to any portion of the Platform, other users' accounts, or any systems or networks connected to the Platform;
- Interfere with or disrupt the operation of the Platform, servers, or networks connected to the Platform, including through the use of bots, scrapers, crawlers, or other automated tools (unless expressly permitted);
- Circumvent, disable, or otherwise interfere with any security-related features of the Platform;
- Use the Platform to harvest, collect, or store personal data of other users without their explicit consent;
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform for commercial purposes without express written permission from Ugram;
- Transmit any viruses, worms, malware, or any other code of a destructive or disruptive nature;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- Use the Platform to distribute unsolicited advertising, spam, or promotional material.
Ugram reserves the right to investigate and take appropriate legal action against anyone who, in Ugram's sole discretion, violates these Terms, including without limitation, reporting such violations to law enforcement authorities and terminating access to the Platform.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UGRAM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:
- Direct, indirect, incidental, special, consequential, or punitive damages of any kind;
- Loss of profits, revenue, data, goodwill, or business opportunities;
- Damages arising from: (i) your access to or use of (or inability to access or use) the Platform; (ii) any content displayed on the Platform; (iii) any conduct or content of any third party, including Channel Owners; (iv) unauthorized access, use, or alteration of your transmissions or data; (v) any viruses or malicious code obtained through the Platform;
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT UGRAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In jurisdictions that do not allow the exclusion or limitation of certain damages, Ugram's liability shall be limited to the maximum extent permitted by applicable law. In no event shall Ugram's total aggregate liability exceed the greater of (a) the amount you have paid to Ugram in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars (USD $100.00).
10. Indemnification
You agree to defend, indemnify, and hold harmless Ugram, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable attorneys' fees and court costs) arising out of or relating to:
- Your use of or access to the Platform;
- Any content you publish, upload, or otherwise make available through the Platform (applicable to Channel Owners);
- Your violation of these Terms;
- Your violation of any applicable law, regulation, or third-party right (including intellectual property, privacy, or publicity rights);
- Any dispute between you and any third party arising from or relating to your use of the Platform;
- Any claim that your content caused damage to a third party.
This indemnification obligation shall survive the termination of these Terms and your use of the Platform. Ugram reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with Ugram's defense of such claims.
11. Safe Harbor & Intermediary Status
Ugram operates as an information society service provider and hosting intermediary within the meaning of:
- Section 512 of the U.S. Digital Millennium Copyright Act (DMCA) — providing safe harbor for service providers that host user-generated content;
- Article 6 of the EU Digital Services Act (Regulation 2022/2065) — establishing liability exemptions for hosting services that act expeditiously to remove or disable access to illegal content upon obtaining actual knowledge;
- Section 230 of the U.S. Communications Decency Act — providing that interactive computer service providers shall not be treated as publishers or speakers of information provided by third-party content providers;
- EU E-Commerce Directive (2000/31/EC), Articles 14-15 — providing liability limitations for hosting providers and prohibiting general monitoring obligations.
Ugram does not have actual knowledge of illegal activity or content on the Platform until it receives a valid notification through the procedures described in Section 7. Upon receiving such notification, Ugram will act expeditiously to investigate and, where appropriate, remove or disable access to the content in question.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. Ugram processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), where applicable.
13. Service Availability & Modifications
Ugram reserves the right, at its sole discretion, to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. Ugram shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.
Ugram does not guarantee that the Platform will be available at all times or that access will be uninterrupted, timely, secure, or error-free. The Platform may be subject to limitations, delays, and other issues inherent in the use of the internet and electronic communications.
14. Modifications to Terms
Ugram reserves the right to modify, amend, or update these Terms at any time, at its sole discretion. Any changes will be effective immediately upon posting the revised Terms on this page, with the "Last updated" date revised accordingly.
Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of and agreement to the modified Terms. If you do not agree to the revised Terms, you must immediately discontinue your use of the Platform.
For material changes to these Terms, Ugram will make reasonable efforts to provide notice, such as through an announcement on the Platform or via email to registered users. However, it is your responsibility to review these Terms periodically to stay informed of any updates.
15. Termination
Ugram may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.
All provisions of these Terms which by their nature should survive termination shall survive, including without limitation: Sections 3 (Disclaimer of Liability), 4 (Content Ownership), 6 (Channel Owner Responsibilities), 9 (Limitation of Liability), 10 (Indemnification), 11 (Safe Harbor), 16 (Governing Law), and 17 (Dispute Resolution).
16. Governing Law
These Terms shall be governed by and construed in accordance with generally accepted principles of international commercial law. To the maximum extent permitted, any disputes shall be resolved through the dispute resolution mechanisms described in Section 17 below.
17. Dispute Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting Ugram at [email protected]. Ugram will make good faith efforts to resolve the dispute within thirty (30) days.
If the dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration, rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or agreements published by Ugram on the Platform, constitute the entire agreement between you and Ugram regarding your use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
